1. Introduction

This website ("https://www.jadebaths.com") and related services are operated by JADE. These Terms & Conditions ("Terms") govern your use of this website and the supply of products by us (JADE) to you (the Customer).

By placing an order or submitting a quotation request on our website, you agree to be bound by these Terms. These Terms apply to all orders, including custom products. If you do not agree, please do not use this website or place an order.

We are a professional bathroom furniture manufacturer offering both standard and customized bathroom vanities, mirrors, and countertops. We reserve the right to update these Terms at any time, and the updated version will be effective immediately upon posting on this website.


2. Quotes and Contract Formation

2.1 Inquiries and Quotes

You may request a quote by sending drawings, reference photos, target price, quantity, and destination port via our website form, email, or instant messaging tools. All quotations issued by us are "invitations to treat" and not legally binding "offers" unless expressly stated otherwise in writing by us in the quotation.

2.2 Order Formation

When you place an order with us, this constitutes an "offer" to purchase products. A legally binding contract between us is formed only when we send you a written order confirmation (e.g., order confirmation email) or begin to process your order.

2.3 Price Adjustments

All quotes are based on costs at the time of quoting. We reserve the right to adjust a quote prior to order confirmation to account for significant changes in exchange rates, raw material, or shipping costs, and will notify you promptly.


3. Price and Payment

3.1 Prices

All prices are quoted in US Dollars (USD) or as mutually agreed, on an FOB (named loading port) or EXW (Ex Works) basis, unless otherwise agreed in writing. Prices do not include any customs duties, VAT, customs clearance fees, or destination port charges, which are the sole responsibility of the Buyer.

3.2 Payment Terms

Standard payment terms are a 50% deposit upon order placement, with the remaining 50% balance due prior to shipment. Alternative payment methods (e.g., Letter of Credit) may be negotiated and agreed in writing for long-term customers. All payments must be made in full cleared funds to our designated bank account via Telegraphic Transfer (T/T) or other mutually agreed methods.

3.3 Late Payment

If the Buyer fails to make any payment by the due date, we reserve the right to: (a) charge interest on the overdue amount at a rate of [e.g., 5%] per annum, accruing daily until paid in full; and (b) suspend performance or cancel any outstanding orders until payment is made.


4. Custom Products, Samples, and Design

4.1 Custom Specifications

You are responsible for ensuring the accuracy of all specifications, drawings, measurements, and design requirements ("Buyer's Specifications") provided to us. If we manufacture based on your provided Buyer's Specifications, we are not liable for any defects, fitting issues, or production losses caused by errors in those specifications.

4.2 Samples

We may provide pre-production samples for your approval prior to mass production. Approval of the sample will be deemed your final acceptance of color, material, and workmanship for the final product. Minor and reasonable variations between the sample and subsequent mass production due to natural materials (e.g., wood, marble) or production batches do not constitute defects.

4.3 Intellectual Property

We retain all intellectual property rights in any designs, drawings, or technical solutions provided by us. You may use these materials solely for the purpose of evaluating and ordering our products and shall not copy or use them for any other purpose without our express written consent.


5. Quality, Warranty, and Liability

5.1 Warranty

We warrant to you that the products, at the time of delivery, are free from material defects in materials and workmanship and substantially conform to their specifications. We provide no warranty for products incorporating materials sourced from outside our standard range (e.g., user-supplied stone or hardware).

5.2 Warranty Period

Our standard warranty period is [e.g., 1 year] from the date of [original purchase/shipment].

5.3 Warranty Limitations

This warranty does not cover defects caused by: fair wear and tear, accidental damage, misuse, neglect, improper installation, unauthorized modification, exposure to extreme temperatures or moisture, or failure to follow our care instructions. Natural variations in color, grain, and texture of natural stone and wood are not considered defects.

5.4 Limitation of Liability

Our total liability for any claim arising out of or in connection with the contract or product shall not exceed the contract price paid for that specific product. In no event shall we be liable for any indirect, incidental, or consequential damages, including but not limited to, costs of installation, business interruption, or loss of goodwill.


6. Delivery and Risk of Loss

6.1 Delivery Dates

All delivery dates and times provided by us are estimates and are not essential terms of the contract. We use commercially reasonable efforts to meet estimated delivery dates but are not liable for delays caused by any cause beyond our reasonable control (e.g., supplier delays, shipping problems, force majeure events).

6.2 Risk of Loss

In accordance with the applicable Incoterm, risk of loss of or damage to the products passes to the Buyer upon delivery. For EXW, risk passes when we make the products available to you or your designated carrier; for FOB, risk passes when the products pass the ship's rail or are loaded on the vessel nominated by you. We recommend you insure the goods.


7. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms resulting from any event beyond our reasonable control ("Force Majeure Event"). Force Majeure Events include, but are not limited to: acts of God, fire, flood, epidemic, quarantine restrictions, war, acts of terrorism, riot, governmental action, strikes, raw material shortages, supplier default, or shipping delays. If a Force Majeure Event continues for more than [e.g., 60] days, either party has the right to terminate the affected order upon written notice to the other party, without liability for damages.


8. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles. Any dispute arising hereunder shall first be settled through friendly negotiation. If negotiation fails, either party has the right to submit the dispute to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules in effect at the time of arbitration. The arbitral award is final and binding upon both parties.
